Virtualbox only supports 64bit guests on a 64bit host with hardware virtualization support. In other words, you'll need to be running 64-bit Ubuntu to make it work, assuming your CPU is compatible. (I assume its a core 2 duo? if so its compatible.)

How about VMWARE ? Does it run x64 guest on x32 bit ? Thanks
You need to run a 64 bit host to enable a 64 bit guest (even if you are running a 32 bit OS on a 64 bit processor).
